General Terms and Conditions of Entry to Keysoe International
IMPORTANT – PLEASE READ
These terms and conditions of entry (“Conditions”) apply to all persons entering Keysoe International Ltd, Church Road, Keysoe, Bedfordshire, MK44 2JP (Attendee or you or your). These Conditions are issued by Keysoe International Limited (Keysoe or we or our). Entry to Keysoe means you accept these Conditions and agree this will result in a legally binding contract between you and Keysoe.
If you attend the site in any capacity other than as a private individual, you must also agree to a set of Special Conditions, which will apply in addition to these Conditions. These Special Conditions are available on the website.
It is your responsibility to familiarise yourself with these Conditions. If you do not understand or have any questions relating to these Conditions or any Special Conditions you should contact Keysoe without delay for clarification.
These Conditions may also be referred to as “Entry Contract”.
Entry to Keysoe shall be at our discretion. We reserve the right to refuse entry to or expel any person from the property in accordance with these Conditions.
Children under the age of 18 years must be accompanied by a responsible adult (over 18) and must be supervised at all times.
The use of recording or communications equipment (e.g. cameras, video cameras, mobile phones, tablets and laptops) is strictly regulated by these Conditions. You must not use or make available any photograph, video footage or any other data for commercial purposes (whether or not you receive payment in return). Please see Condition 6.
Our liability under these Conditions is limited. Please see Condition 9.
We reserve the right to search you and your belongings at any time whilst you are at Keysoe. If you refuse a request to search you or your belongings, we might require you to leave the site. Please see Condition 3.4 and 3.5.
Keysoe International Limited is a company incorporated and registered in England and Wales with company number 13033311 whose registered office is at Harrowden Court, 66-80 Huxley Close, Park Farm Industrial Estate, Wellingborough, Northamptonshire, NN8 6AB, United Kingdom.
The following Conditions apply to all Attendees: –
1. THE EFFECT OF THESE CONDITIONS AND VARIATIONS
1.1. All Attendees who enter Keysoe (including all surrounding land, car parks and other facilities which are under the ownership and/or control of Keysoe) shall be deemed to have accepted these Conditions. Attendees are admitted to Keysoe strictly subject to these Conditions. There are no exceptions.
1.2. Whilst these Conditions are intended to be comprehensive, Attendees are admitted to Keysoe on the basis that they will comply with both the letter and the spirit of these Conditions.
1.3. All Attendees are permitted access to Keysoe at our discretion and must conduct themselves whilst on the site in accordance with all reasonable rules, requests and guidelines which we may publish and impose from time to time. We reserve the right to amend and supplement these Conditions by publishing additional and supplementary conditions and guidelines from time to time (Variations). Variations will be effective to vary these Conditions on such basis as we may stipulate and may be of permanent or temporary effect. We will take reasonable steps to bring any Variations to your attention.
1.4. Keysoe reserves the right to impose such new conditions of entry into Keysoe as it, in its absolute discretion, considers necessary to comply with any legal requirements including all applicable laws, regulatory requirements, government order or any actions, recommendations, guidance, announcements or restrictions, whether made by a government body, authority, public health organization or other similar official body.
1.5. Keysoe may at its discretion undertake health screening prior to your attendance. Keysoe shall use all reasonable endeavours to inform you of these conditions in advance and reserves the right, without penalty or liability, to refuse entry or to eject you from the site if these conditions are not complied with.
1.6. Keysoe reserves the right to refuse entry to you if a capacity limit has been set in accordance with any of the circumstances described in condition 1.4, above, and may at its absolute discretion define who can attend on that day.
1.7. Keysoe has the right to refuse entry to designated areas or facilities which are closed or where a capacity limit has been set in accordance with any of the circumstances described in condition 1.4, above.
2. ACCESS
2.1. Permission to enter Keysoe does not constitute guaranteed entry to Keysoe, any area of the site or building or facilities. We reserve the right to refuse or condition access to areas of Keysoe from time to time and on a temporary or permanent basis.
2.2. Unless we give specific information, you are prohibited from entering any area designated ‘staff only’ or ‘officials only’, or to areas which we may otherwise restrict access from time to time.
2.3. Children aged under the age of 18 must be accompanied by a responsible adult (over 18) and must be supervised at all times. You are responsible for each child that you bring onto the property and shall ensure each child complies with these Conditions.
3. CONDUCT OF ATTENDEES
3.1. Keysoe reserves the right in our absolute discretion at any time without prior notice to refuse admission to or expel and/or ban any Attendee who, in our opinion;
3.1.1. has breached or is likely to breach these Conditions or any applicable legal requirements as described in condition 1.4, above;
3.1.2. has or is likely to commit a criminal offence or otherwise do anything which is unlawful;
3.1.3. behaves or is likely to behave in an unacceptable or unruly manner or in a manner likely to cause offence to other Attendees; and/or,
3.1.4. is abusive in any form towards the staff of Keysoe, and any ban we may impose may, at our option, may be temporary or permanent.
3.2. All Attendees must follow the reasonable written and/or verbal instructions of Keysoe staff, security or officials and the police or other emergency services present at Keysoe at all times. Failure to do so may result in expulsion from the property.
3.3. Everyone attending Keysoe has a duty to other Attendees, guests, Keysoe’s staff and contractors. It is your responsibility to, and to procure that any Attendees you have invited to Keysoe, act responsibly and in accordance with any applicable legal requirements, including those described in condition 1.4, above. This includes, but is not limited to, not attending any event if at the time of the relevant event applicable legal requirements mean that you should not attend.
3.4. In the interests of safety, or to check for items you are prohibited from bringing onto the site, we may request to conduct personal body searches of Attendees and/or search their personal belongings. We shall be entitled to refuse entry to (or expel from Keysoe) any Attendee who refuses to comply with such a request.
3.5. The following items must not be brought onto Keysoe property;
3.5.1. Knives, weapons, corkscrews or sharp objects;
3.5.2. Hoax items;
3.5.3. Pyrotechnics including laser devices, flares and fireworks;
3.5.4. Rope;
3.5.5. Megaphones/sound systems or air horns;
3.5.6. Large flags/banners/selfie sticks;
3.5.7. Unidentifiable canisters (including smoke canisters or nitrous oxide);
3.5.8. Helium balloons;
3.5.9. Glass, ceramic bottles or cans;
3.5.10. Drinking glasses, dishes or glassware;
3.5.11. Alcohol, picnics, or BBQs;
3.5.12. Professional filming or photographic equipment; and,
3.5.13. Any other article that might be used as a weapon and/or may in our reasonable opinion compromise the safety of any person or animal present at Keysoe, and/or be deemed a safety risk at the site. We shall be entitled to refuse entry to or expel and/or ban from Keysoe any Attendee with such items in their possession.
3.6. The following are prohibited at Keysoe:
3.6.1. Flags, banners and other articles and any behaviour which may distract or frighten the horses;
3.6.2. Unauthorised small unmanned aircraft, drones, aerial systems or vehicles that have not been expressly authorised by Keysoe in writing;
3.6.3. Any behaviour which may disrupt or impair the experience of other Attendees;
3.6.4. Climbing fences, stands or any other structures or buildings;
3.6.5. Throwing any object without lawful authority or excuse;
3.6.6. Obstructing of gangways, access ways, exits, entrances, stairways and similar places;
3.6.7. Running on the Keysoe veranda;
3.6.8. Riding of bikes, scooters or tricycles on the Keysoe veranda;
3.6.9. Damaging or defacing Keysoe property;
3.6.10. Any item which may be used for any marketing or promotional activity whatsoever which has not been expressly authorised by Keysoe in writing;
3.6.11. Offensive clothing and slogans on the clothing that would be deemed inappropriate to others of different sex, age, race, religious beliefs and political slogans;
3.6.12. Nonmedicinal drugs, narcotics and other illegal substances;
3.6.13. Furniture in any form, including camping stools and other forms of seating not provided by Keysoe.
3.6.14. No Keysoe furniture maybe moved to a different location on site at any time, unless authorised by Keysoe staff.
3.6.15. Smoking is not permitted anywhere on site. This also includes E-cigarettes and other forms of vapour emitting devices.
4. UNAUTHORISED TRADING, ADVERTISING, LEAFLETING AND OTHER COMMERCIAL OR PROMOTIONAL ACTIVITY INCLUDING CHARITY COLLECTIONS
4.1. Only those Attendees who have been given express prior permission by Keysoe to trade, advertise, distribute leaflets, charity collect or conduct any other commercial or promotional activities at Keysoe may do so.
4.2. Trading, advertising, leafleting and commercial or promotional activities by all other Attendees is strictly prohibited. This prohibition extends to and includes;
4.2.1. Any person directly or indirectly involved in the collation and/or distribution of any audio, visual, audio-visual coverage of or data relating to any event at Keysoe which has not been expressly permitted in advance by Keysoe.
4.3. Keysoe reserves the right to confiscate any equipment, stock or other materials in the possession of any Attendee whilst at Keysoe who is, or whom we reasonably believe to be involved in unauthorised trade, advertising, leaflet distribution or other commercial or promotional activities.
4.4. Keysoe reserves the right to take such legal action (including where appropriate obtaining injunctive and other relief) against or in respect of any person or entity that is in breach of this Condition 4, who has in the past breached this Condition 4 (or any equivalent prior provision) or whom we reasonably believe will breach this Condition 4.
5. FOOD AND DRINK
5.1. Unless otherwise agreed by Keysoe only food and drink purchased at Keysoe may be consumed on site.
6. USE OF CAMERA, VIDEO, COMPUTER AND TELECOMMUNICATIONS EQUIPMENT
YOUR ATTENTION IS PARTICULARLY DRAWN TO THIS CONDITION 6:
Noncompliance with the following provisions will constitute a serious breach of these Conditions, as a result of which Keysoe shall have the right to cancel and withdraw any ticket or other entitlements issued to you and eject you from the property. Use of cameras, video equipment, laptop and other computer equipment, mobile telephones and other telecommunications devices at Keysoe is strictly controlled and limited. You are not permitted to make any commercial use of any audio/visual coverage, still images or data relating to any event at Keysoe.
6.1. You shall not use any device or technology to capture, record, store, transmit or broadcast any data relating to any event or other activity at Keysoe, unless you are expressly permitted to do so by Condition 6.4.
6.2. In particular, you must not capture, record, store transmit (including live stream):
6.2.1. Any pictures of horses preparing for an event;
6.2.2. Any pictures of athletes or riders preparing for an event;
6.2.3. Any event, this includes either “live” or pictures from the on-course CCTV;
6.2.4. Any data relating to any event;
6.2.5. Any activities in integrity areas (i.e. areas with limited access to Officials and designated staff at Keysoe).
6.3. The list in Condition 6.2 is indicative of the types of activity prohibited by Condition 6.1 but that list is not exhaustive.
6.4. No photography or video recording of athletes, riders or their horses is permitted without the express permission of Keysoe. In that event the following rules apply:
6.4.1. Flash photography is strictly forbidden; and
6.4.2. You must not allow a third party to use such images for any commercial purpose and will notify Keysoe immediately if you become aware of any unauthorised use of those images.
6.5. You agree that all copyright and other intellectual property rights in any unauthorised still, audio, visual, audio-visual coverage or other data shall be assigned to Keysoe on creation. If these Conditions are not sufficient to give effect to this assignment you will do all such things and execute all such documents as we may require to transfer ownership of those rights to Keysoe.
6.6. We reserve the right to confiscate any camera, video equipment, mobile telephone, radio and any telecommunications or other device (including computer similar equipment) and any media or device upon which any audio/visual content or data may be stored that is in your possession and delete any such content if we believe you have breached or are likely to breach this Condition 6.
6.7. Unless you are an accredited member of the media with permission sought through the Press Office before arrival, you are not allowed to use a ‘professional’ camera (i.e. one with a substantial detachable lens) at Keysoe. Subject to clause 6.4 compact digital cameras and mobile phones however are acceptable photographic equipment and are acceptable to use.
7. JOURNALISTS, PUBLISHING AND REPORTING
7.1. You are not permitted to report on, broadcast or otherwise write any article about any event at Keysoe.
7.2. You will need to enter into a supplementary agreement with Keysoe if you wish to undertake any press or associated activities at Keysoe.
8. DOGS
8.1. Dogs are not permitted in any area of the property except in the car park, unless required for disabled assistance (Assistant Dogs Only).
8.2. Where dogs are permitted, they must well-behaved and always kept on a short lead. They must not be allowed to foul on the property. If this happens then any mess must be cleaned up immediately.
8.3. You will be asked to remove your dog from the site if they are causing a disturbance.
8.4. To the extent Keysoe are legally able to do so, we reserve the right, if necessary, to force entry into a car to release animals which may be suffering.
9. LOSS, DAMAGE AND LIABILITY
9.1. Any property brought onto Keysoe by an Attendee remains at all times at the entire risk of the Attendee. Keysoe will not be liable for any loss, injury or damage, howsoever caused, to any Attendee or their property (“Loss”) except where and only to the extent that any such Loss is caused by our negligence or the negligence of our employees.
9.2. You must not leave any bags or other items of personal property unattended at any time whilst at Keysoe. Any personal possessions or other items (including without limitation clothing, wallets and mobile telephones), which are found at Keysoe, shall be retained at the relevant location for a period of 30 days following their discovery. During this period, you may collect any item which belongs to you from the relevant location upon reasonable proof of identification and ownership. If, upon the expiry of 30 days from the date of its discovery, any item that has not been collected by you, Keysoe reserves the right to dispose of any such items as it sees fit without any further liability to you (not withstanding anything else in the Conditions). Where possible, any uncollected items will be donated to charity.
9.3. Attendees must accept that, by its very nature, attending an equestrian facility is not without risk. Attendees must therefore remain vigilant and exercise a reasonable degree of caution and care for themselves and those around them at all times.
9.4. Subject to Conditions 9.5 and 9.6, Keysoe shall have no liability for any indirect or consequential loss, damage, costs or expenses, any loss of profits, loss of opportunity or loss of revenue whether foreseeable or not.
9.5. Nothing in these Conditions shall limit or exclude Keysoe’s liability in respect of death or personal injury caused by our own negligence or fraudulent act or omission or for any other liability which cannot by law be excluded or limited.
9.6. Nothing in these Conditions shall affect the statutory rights of any Attendee attending Keysoe as a consumer.
9.7. Attendees are responsible for any damage you cause (or a child in your care causes) at Keysoe, to any fixtures and fittings or goods or equipment owned by or in the possession of Keysoe and for any damage caused to the property of any other person or business present at Keysoe.
10. PARKING
10.1. All vehicles parked or stored within Keysoe and any land surrounding Keysoe owned or controlled by Keysoe, are parked at the owner’s risk and Keysoe accepts no responsibility for such vehicles.
10.2. All vehicles must be driven with utmost care whilst on the property and all vehicle drivers must comply with all instructions of Keysoe staff and other officials at Keysoe. Vehicles must only be driven along routes and parked in areas specifically designated by Keysoe.
10.3. Keysoe reserves the right to require that any vehicle be moved, or to move any vehicle, if it is not parked in an area designated by Keysoe or it is otherwise obstructing the smooth operation of Keysoe or represents a safety hazard.
10.4. Awnings and/or gazebos are not permitted to be used in the car or lorry parks.
10.5. BBQ’s are not permitted within the car or lorry parks.
10.6. Camping is not permitted anywhere on site including in Keysoe’s car and lorry parking areas. This includes the use of tents, campervans, caravans or cars.
11. EVACUATIONS
11.1. In the event of an emergency (bomb scare, fire hazard, etc.) all areas must be evacuated. Please listen to announcements over the public address system and via other communication systems.
11.2. Any emergency should be reported immediately to a member of Keysoe staff at and/or at Keysoe Reception.
12. DISPUTES
12.1. If any dispute arises between us in relation to these Conditions, we shall use our reasonable endeavours to consult or negotiate with you in good faith to resolve such disputes.
13. ENFORCEMENT
13.1. No failure or delay to enforce our rights under these Conditions, should be construed as a waiver of Keysoe’s right to do so.
14. LAW
14.1. These Conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law.
14.2. In the event of a dispute relating to these Conditions, any contract we have with you or any other claim you may have against Keysoe (including in negligence) You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Conditions.
14.3. Each of the paragraphs of these Conditions operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain full and in force
